Corporate Governance

Transparency, accountability, equal treatment

Corporate Governance

Neris Holding has adopted the Capital Markets Board's Corporate Governance Principles. Our governance structure is built on equal treatment of shareholders, transparent disclosure and management accountability.

Board of directors

Three of the nine board members are independent. The board meets at least eight times a year, and members serve three-year terms. A board evaluation is carried out every year with an independent advisor.

Committees

  • Audit Committee: Oversees financial reporting, internal control and independent audit
  • Early Risk Detection Committee: Monitors strategic, operational and financial risks
  • Corporate Governance and Sustainability Committee: Oversees policy compliance and ESG targets
  • Remuneration and Nomination Committee: Sets executive appointments and the remuneration policy

Ethics and whistleblowing

Our Code of Ethical Conduct is binding on all employees and business partners. Suspected bribery, corruption, conflicts of interest or competition law violations can be reported confidentially, with a non-retaliation guarantee, to etik@nerisholding.com.tr or to the independent hotline available 24/7.

Stakeholder communication and reporting

Investors are informed through four quarterly results announcements, two investor days and regular conference calls a year. All disclosures are published on the Public Disclosure Platform and archived in the Investor Relations section of this site. Shareholders can send questions to yatirimci@nerisholding.com.tr; answers are given within five business days. The corporate governance compliance report is published each year as part of the annual report, and any principles not complied with are explained with reasons.
